What we are, and what we are not.
LicenceMap Exchange is an introducer. We connect vetted buyers and sellers and make a confidential introduction once both sides have signed. We do not value companies, advise on the merits of a deal, negotiate terms, or handle any funds: your own lawyers and advisers do that.
A licence cannot be sold on its own, it is not transferable. What changes hands is the company that holds the authorisation, and the regulator must approve the new owner under its change-of-control rules. That approval sits between the parties and the regulator, not with us.

Fees
Simple and stated up front. No percentages are published because every mandate is agreed in writing before any introduction, but the shape never changes:
1. Token commencement fee
A commencement fee of £500 (plus VAT where applicable) starts a listing or a buyer search. It is credited in full against the success fee on a completed deal, and refunded if we do not make a qualified introduction within a defined window.
2. Success fee
A success fee, agreed with you in writing before any introduction, becomes payable when a binding purchase agreement is signed between an introduced buyer and seller. Success is the signed agreement: the fee is earned at signing and does not depend on the deal later completing or on the outcome of the regulator's change-of-control review. The fee is paid by the seller unless we agree a buy-side mandate with you in advance.
3. Non-circumvention
If, having received an introduction, you or any affiliate enter into a transaction with the introduced party or any of its affiliates within twenty-four months, the success fee is payable in accordance with your mandate, whatever intermediate steps, entities or deal structure are used.
4. Confidentiality and vetting
Enquiries are held in strict confidence. Identities are exchanged only under a signed NDA. We screen both sides, including buyer identity, ultimate ownership and source of funds, and we may decline to act where we cannot get comfortable.

FAQ
Common questions.
Can I actually buy a licence?
Not the licence by itself, licences are not transferable. You buy the authorised company that holds it, and the regulator must approve you as the new controller before completion. We introduce you to the right entity and, if you need it, to counsel who handle the change-of-control filing.
Is it confidential?
Yes. Nothing about a seller is shown to a buyer, or the reverse, until both have signed an NDA. Sellers are described only by a blind profile until then.
When is your fee due?
A token commencement fee begins the work and is credited against completion. The success fee falls due when a purchase agreement is signed, agreed with you in writing beforehand.
Do you vet buyers?
Yes, and firmly. We screen identity, ownership and source of funds, and we will decline where we cannot get comfortable. Selling a regulated entity to the wrong buyer helps no one.
Do you give advice?
No. We are an introducer, not an adviser or a broker-dealer. We provide context and data; your own lawyers and advisers handle valuation, terms and the filing.
